On July 28, 2023, CVA SMART ENERGY S.r.l. a s.u. signed a preliminary purchase agreement for the acquisition of 70% of the share capital of the company RS SERVICE S.r.l., active in the sectors of engineering, construction, and maintenance of electronic and mechanic systems.

The closing of the acquisition depends on the occurrence of certain conditions, typical of such operations, like the authorisation of the Italian Guarantor Anti-Trust Authority (AGCM - Autorità Garante della Concorrenza e del Mercato).

The contract includes that, at closing, the Buyer and the Vendor will subscribe a shareholders’ agreement which, among other things, defines the corporate governance rules.
